Advisor Intelligence Terms of Service

These Terms of Service ("Terms") govern your access to and use of Advisor Intelligence, a product developed and operated by Altcoin Capital LLC ("Altcoin Capital," "we," "us," or "our"), including its websites, applications, tools, voice services, artificial intelligence features, and related services (collectively, the "Service").

By creating an account, accepting these Terms, or using the Service, you agree to be bound by these Terms and our Privacy Policy.

1. The Service

Advisor Intelligence is an education, practice, meeting-preparation, analysis, and decision-support platform designed primarily for financial professionals.

The Service may provide features including:

• Simulated client conversations in text and voice for practice, coaching, and rehearsal.
• AI-generated evaluations of conversation performance, including scores, observations, summaries, and qualitative feedback.
• Meeting-preparation tools using de-identified situation profiles.
• Tools designed to identify discussion topics, client concerns, planning considerations, and potential planning opportunities.
• Practice exercises involving artificial intelligence, digital assets, retirement planning, insurance, client communication, and other financial-professional topics.
• Continuing-education-related resources and complimentary access provided in connection with carrier-, wholesaler-, firm-, conference-, or event-sponsored programs.
• Other tools and features that Altcoin Capital may make available from time to time.

Advisor Intelligence is intended to assist financial professionals with preparation, education, organization, practice, and professional judgment.

The Service does not independently execute transactions, open accounts, purchase or sell securities or insurance products, or make decisions on behalf of an actual client.

2. Acceptance of Terms

You accept these Terms when you create an Advisor Intelligence account, affirmatively accept the Terms through the Service, or otherwise use the Service after being presented with these Terms.

If you do not agree to these Terms, you may not access or use Advisor Intelligence.

We may maintain records showing the version of these Terms presented to you and the date and time of your acceptance.

3. Eligibility and Professional Use

You must be at least 18 years old to use Advisor Intelligence.

The Service is designed primarily for financial professionals, including financial advisors, financial planners, insurance professionals, registered representatives, investment professionals, and other authorized professional users.

By using the Service, you represent that:

• Information you provide regarding your identity and professional status is accurate.
• You are authorized to use the Service for the purposes for which you use it.
• Your use complies with the policies and procedures of any firm, broker-dealer, registered investment adviser, insurance organization, employer, or other institution with which you are affiliated.
• You will comply with applicable laws, regulations, professional standards, and contractual obligations.

4. Educational and Decision-Support Purposes

Advisor Intelligence provides educational, analytical, organizational, coaching, and decision-support tools.

The Service does not provide legal, tax, accounting, or individualized investment advice to consumers.

AI-generated content, planning observations, conversation suggestions, scores, evaluations, summaries, potential planning opportunities, and other outputs are intended to assist a financial professional's own analysis and professional judgment.

They are not substitutes for:

• Independent professional judgment.
• Firm supervision.
• Suitability or best-interest analysis.
• Compliance review.
• Product due diligence.
• Required disclosures.
• Required books and records.
• Legal, tax, or accounting advice.
• Any other obligation applicable to a financial professional or firm.

You remain responsible for determining whether any information, analysis, recommendation, strategy, product, communication, or action is appropriate for an actual client.

Nothing generated by Advisor Intelligence should be treated as an instruction to recommend, purchase, sell, replace, exchange, or otherwise transact in any security, insurance product, digital asset, investment strategy, or other financial product.

5. De-Identified Situation Profiles

Advisor Intelligence is designed to operate from de-identified information about a client's or prospective client's situation rather than information that identifies a particular individual.

Advisor Intelligence does not request, and its features are not designed to receive:

• Client names.
• Social Security numbers or other government-issued identification numbers.
• Financial account numbers.
• Email addresses, telephone numbers, or other contact information.
• Exact dates of birth.
• Complete client files or account statements.
• Passwords or credentials.

Where you create a situation profile, you supply a reference label of your own choosing, together with generalized information such as an age band, asset range, description of circumstances, stated concerns, and objectives.

The reference label is intended for your own recognition and should not be, or contain, the client's name or other identifying information.

Advisor Intelligence may apply technical measures intended to prevent the submission of certain categories of identifying information. These measures are not infallible.

You agree that you will not enter information described above, and you remain responsible for information you submit, including information submitted despite these measures or through fields not subject to them.

You further agree that:

• You will limit information submitted to what is reasonably necessary for the functionality you are using.
• Your use of Advisor Intelligence will comply with applicable law and the policies of any firm, broker-dealer, registered investment adviser, insurance organization, employer, or other institution with which you are affiliated.
• You will provide any notices and obtain any permissions or consents required of you before submitting information concerning another person.

Altcoin Capital does not independently verify information you submit or your authority to submit it.

Financial professionals and their firms remain responsible for determining whether their use of Advisor Intelligence complies with applicable privacy, confidentiality, supervision, recordkeeping, and data-security requirements.

6. Artificial Intelligence and Third-Party Technology

Advisor Intelligence relies on third-party technology providers to deliver certain features.

Depending on the feature used, information may be processed by providers including:

• OpenAI, which may process conversation text, simulated-client instructions, persona information, and relevant de-identified situation context to generate simulated client interactions.
• Deepgram, which may process microphone audio for speech-to-text transcription.
• ElevenLabs, which may process generated text to create simulated client voice output.
• LiveKit Cloud, which provides realtime audio and communication transport.
• Render, which hosts portions of the realtime voice service and may process information handled through that service.
• Base44, which provides application infrastructure and may process account information, de-identified situation profiles, cases, transcripts, and application data.
• Anthropic, which may process session transcripts and related context through functionality provided through Base44 to generate analysis or evaluation outputs.

Third-party providers operate under their own agreements, privacy practices, technical configurations, retention practices, and service terms.

Altcoin Capital configures Advisor Intelligence to limit the use of submitted information for model training where providers make such configurations available. Provider practices, configurations, terms, and available controls may change over time.

Additional information regarding third-party processing, current providers, and applicable data-use practices is described in our Privacy Policy.

By using features that depend on third-party providers, you authorize Altcoin Capital to transmit information to those providers as reasonably necessary to provide the requested functionality.

Advisor Intelligence's use of de-identified situation profiles is intended, in part, to limit the categories of information transmitted to third-party providers.

You should not submit information that is unnecessary for the feature being used.

7. Voice Practice and Simulated Conversations

Advisor Intelligence may provide voice-enabled conversation practice.

When you use voice features:

• Your microphone audio may be transmitted to third-party providers for realtime transport and speech recognition.
• Your speech may be converted into text.
• A simulated client may respond using artificial intelligence.
• Generated responses may be converted into synthetic voice audio.
• The Service may create a transcript, evaluation, score, summary, or related analysis based on the session.

The simulated client is not a real client and should not be treated as one.

AI personas may respond unpredictably, incorrectly, inconsistently, or unrealistically.

Voice practice is designed for education and rehearsal.

Unless Advisor Intelligence expressly introduces a feature designed for that purpose, you may not use the Service to secretly or unlawfully record actual client conversations or other individuals.

You are responsible for ensuring that other individuals are not unintentionally recorded when using microphone-enabled features and for obtaining any consent required by applicable law.

8. Continuing Education and Sponsored Access

Advisor Intelligence may be made available in connection with continuing education programs, professional education programs, conferences, carrier events, wholesaler-sponsored events, or similar programs.

Unless expressly stated otherwise, access to Advisor Intelligence does not itself constitute continuing education credit.

Eligibility for continuing education credit is determined by the applicable course provider, regulator, designation organization, or other approving authority.

Certain attendees may receive complimentary access to Advisor Intelligence for a period determined by the applicable program. The duration of complimentary access will be stated to you at or before activation and may vary by event, sponsor, or program.

Sponsored access may be associated with the event, carrier, wholesaler, firm, or other organization that provided or promoted the access.

Sponsored access:

• Does not give the sponsor ownership of your Advisor Intelligence account.
• Does not give the sponsor access to your situation profiles, conversations, transcripts, evaluations, or other individual activity solely by virtue of sponsorship.
• Does not require you to purchase products or services from the sponsor.
• Does not constitute an endorsement or recommendation of the sponsor or its products.
• May expire automatically at the end of the applicable sponsored period.

Altcoin Capital does not currently provide sponsors with individual Advisor Intelligence activity or sponsor analytics concerning topics practiced, client-concern categories, or planning opportunities.

If sponsor-related data-sharing functionality is introduced in the future, applicable disclosures and authorization requirements will be provided before such functionality applies to you.

Following expiration of sponsored access, you may be offered the opportunity to continue using Advisor Intelligence through a paid subscription or another available access arrangement.

9. Account Security

You are responsible for maintaining the confidentiality and security of your account credentials.

You agree to:

• Use reasonable safeguards to protect your account.
• Not share login credentials with unauthorized individuals.
• Notify us promptly if you believe your account has been compromised.
• Keep your account and professional information reasonably current.

You are responsible for activity occurring through your account except to the extent caused by circumstances for which Altcoin Capital is legally responsible.

10. Acceptable Use

You agree not to:

• Enter information that you do not have the right or authority to use.
• Enter client names, financial account numbers, Social Security numbers or other government identifiers, client contact information, exact dates of birth, passwords, credentials, or other identifying information described in Section 5.
• Attempt to circumvent technical measures intended to prevent submission of identifying information.
• Use Advisor Intelligence to secretly or unlawfully record another person.
• Impersonate another person or misrepresent your identity or professional status.
• Attempt to gain unauthorized access to another user's account or data.
• Circumvent access controls, security measures, rate limits, or usage restrictions.
• Reverse engineer, decompile, disassemble, scrape, extract, or attempt to discover proprietary software, prompts, model configurations, source code, or underlying system logic except where such restriction is prohibited by law.
• Use the Service to develop, train, benchmark, or improve a competing product through unauthorized extraction of Advisor Intelligence content or functionality.
• Introduce malware, harmful code, automated attacks, or other materials intended to disrupt the Service.
• Use the Service for unlawful, fraudulent, deceptive, abusive, or harmful purposes.
• Resell, sublicense, transfer, or commercially redistribute access without our written permission.
• Use the Service in violation of applicable law, regulation, professional standards, or your firm's policies.

We may investigate suspected violations and suspend or terminate access where reasonably necessary.

11. Fees, Subscriptions, and Complimentary Access

Advisor Intelligence may offer free, complimentary, sponsored, trial, promotional, and paid forms of access.

Paid subscriptions may be billed in advance according to the pricing and billing period presented when you subscribe.

Applicable pricing, included functionality, usage limits, renewal terms, and billing frequency will be disclosed when you purchase a subscription.

Unless otherwise stated at the time of purchase:

• Subscription fees apply to the applicable subscription period.
• Access may continue until the end of a paid subscription period after cancellation.
• Complimentary, promotional, or sponsored access may expire automatically.
• Promotional access does not guarantee eligibility for future promotions.
• We may change pricing for future subscription periods by providing reasonable notice where required.

If automatic renewal is offered, renewal terms and the cancellation method will be presented as required by applicable law.

Fees already paid are non-refundable except where otherwise stated or required by law.

12. Ownership of Your Information

As between you and Altcoin Capital, you retain your rights in information and content that you lawfully submit to Advisor Intelligence.

You grant Altcoin Capital and its service providers a limited right to host, transmit, reproduce, process, transform, and otherwise use submitted information as reasonably necessary to:

• Provide the Service.
• Generate requested outputs.
• Maintain and secure the Service.
• Troubleshoot technical problems.
• Comply with applicable legal obligations.
• Perform other processing described in the Privacy Policy.

This permission continues only for as long as reasonably necessary for the applicable processing and is subject to our retention practices.

13. Advisor Intelligence Intellectual Property

Advisor Intelligence, including its software, interfaces, designs, branding, workflows, frameworks, proprietary prompts, scoring methodologies, simulated scenarios, content, documentation, graphics, and other materials provided by Altcoin Capital, is owned by Altcoin Capital LLC or its licensors and is protected by applicable intellectual-property laws.

Subject to these Terms, Altcoin Capital grants you a limited, non-exclusive, non-transferable, revocable right to access and use Advisor Intelligence for authorized professional purposes during your period of access.

No ownership interest in Advisor Intelligence is transferred to you.

14. Feedback

If you voluntarily provide suggestions, ideas, recommendations, or other feedback regarding Advisor Intelligence, you permit Altcoin Capital to use that feedback to develop, operate, improve, and market the Service without an obligation to compensate you.

This provision does not give Altcoin Capital ownership of confidential information submitted through the Service.

15. AI-Generated Content and Professional Judgment

Advisor Intelligence uses artificial intelligence to generate certain content.

AI-generated content may:

• Be incorrect or incomplete.
• Misinterpret information.
• Contain outdated information.
• Produce inconsistent results.
• Fail to account for relevant facts.
• Generate inappropriate or unsuitable suggestions.

You must independently evaluate and verify outputs before using them in connection with an actual client or professional decision.

You remain solely responsible for advice, recommendations, communications, transactions, strategies, or other professional services you provide.

16. Third-Party Services

Advisor Intelligence may depend on or integrate with third-party platforms, artificial intelligence systems, telecommunications systems, infrastructure, APIs, and other technologies.

Altcoin Capital does not control all aspects of those third-party services.

A third-party outage, change, error, discontinuation, limitation, or security event may affect Advisor Intelligence functionality.

We may modify, replace, or discontinue integrations or providers as reasonably necessary.

17. Service Availability and Changes

We may modify, update, add, remove, suspend, or discontinue features of Advisor Intelligence from time to time.

We do not guarantee that any particular feature, AI model, provider, simulation, integration, or functionality will remain available indefinitely.

Where reasonably practicable, we will seek to avoid materially disrupting paid users without notice.

18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Advisor Intelligence is provided "as is" and "as available."

Altcoin Capital disclaims warranties of every kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted or error-free.
• AI-generated output will be accurate, complete, or appropriate.
• The Service will meet every regulatory or firm requirement applicable to you.
• Third-party services will always be available.
• The Service will be free from all security vulnerabilities or data loss.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Altcoin Capital LLC and its officers, directors, employees, affiliates, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, loss of goodwill, or loss of data, arising from or related to the Service.

To the maximum extent permitted by applicable law, the aggregate liability of Altcoin Capital LLC arising out of or relating to the Service or these Terms will not exceed the greater of:

1. The amount you paid directly to Altcoin Capital for Advisor Intelligence during the twelve months immediately preceding the event giving rise to the claim; or
2. $100.

These limitations apply regardless of the legal theory asserted and even if Altcoin Capital has been advised of the possibility of such damages.

These limitations do not apply where prohibited by law.

20. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Altcoin Capital LLC and its officers, directors, employees, affiliates, contractors, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from:

• Your unlawful or unauthorized use of Advisor Intelligence.
• Information you submit without the required right or authorization.
• Your violation of these Terms.
• Your violation of applicable law or regulation.
• Your professional advice, recommendations, transactions, communications, or services provided to an actual client.

This provision does not require you to indemnify Altcoin Capital for conduct for which indemnification cannot legally be required.

21. Suspension and Termination

You may stop using Advisor Intelligence at any time.

You may cancel a paid subscription through the cancellation method provided within the Service or applicable billing process.

We may suspend or terminate your access if:

• You materially violate these Terms.
• Your use creates a security, legal, regulatory, or operational risk.
• Payment remains unpaid where required.
• We reasonably suspect fraudulent, abusive, or unauthorized activity.
• We discontinue the Service or applicable access program.

Following termination or expiration, your right to use Advisor Intelligence ends.

Information associated with your account will be handled in accordance with our Privacy Policy and applicable retention requirements.

Provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

22. Governing Law and Venue

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, Advisor Intelligence, or your relationship with Altcoin Capital LLC will be governed by the laws of the State of Connecticut, without regard to its conflict-of-law principles.

Except for an eligible matter brought in small claims court as provided below, each party agrees that any action or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of Connecticut.

You and Altcoin Capital LLC consent to the personal jurisdiction of those courts and waive objections to venue in those courts to the extent permitted by applicable law.

Nothing in these Terms prevents either party from bringing an individual claim in a court of competent jurisdiction that qualifies as a small claims court, provided the claim remains solely in that court and is pursued only on an individual basis.

23. Individual Claims and Class-Action Waiver

To the fullest extent permitted by applicable law, you and Altcoin Capital LLC agree that any dispute, claim, or proceeding arising out of or relating to these Terms or Advisor Intelligence will be brought only in an individual capacity and not as a plaintiff, claimant, or class member in any purported class, collective, consolidated, coordinated, mass, or representative action or proceeding.

To the fullest extent permitted by applicable law, you and Altcoin Capital LLC waive any right to seek, maintain, participate in, or obtain relief through a class, collective, consolidated, coordinated, mass, or representative action.

This Section does not prevent either party from seeking relief on an individual basis, including through an eligible small-claims proceeding under Section 22.

If applicable law prohibits enforcement of any portion of this Section with respect to a particular claim or form of relief, that portion will not apply to that claim or relief to the extent of the prohibition, and the remaining provisions of these Terms will remain in effect.

24. Changes to These Terms

We may update these Terms to reflect changes to Advisor Intelligence, our business practices, technology providers, legal requirements, pricing, or other circumstances.

When material changes are made, we will provide notice where required and update the effective date.

Where appropriate, you may be required to affirmatively accept an updated version before continuing to use Advisor Intelligence.

We may retain records showing the version of the Terms you accepted and the date and time of acceptance.

25. Privacy

Our collection, use, processing, disclosure, and retention of personal information is described in the Advisor Intelligence Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

26. Entire Agreement

These Terms, the Privacy Policy, applicable subscription terms, and any additional terms expressly presented in connection with a particular Advisor Intelligence feature or program constitute the agreement between you and Altcoin Capital regarding your use of the Service.

If supplemental terms conflict with these Terms, the supplemental terms will control solely with respect to the feature or program to which they apply.

27. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law or, where necessary, severed.

The remaining provisions will remain in full force and effect.

28. Waiver

A failure by Altcoin Capital to enforce any provision of these Terms does not constitute a waiver of that provision or the right to enforce it later.

Any waiver must be expressly made by Altcoin Capital in writing to be effective.

29. Assignment

You may not assign or transfer these Terms or your rights under them without Altcoin Capital's prior written consent.

Altcoin Capital may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing transaction, or transfer of the Advisor Intelligence business, subject to applicable law.
